These Terms of Service ("Terms") govern your access to and use of mainstmarketing.club (the "Site") and any content, tools, or services provided through it (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization; in that case, "you" means that organization.

The Services are operated by Praana Ventures LLC d/b/a "Main Street Marketing Club" ("Company," "we," "us," or "our").

ELIGIBILITY
You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services. If you are under 18, you may use the Services only with the involvement of a parent or legal guardian.
ACCEPTABLE USE
You agree not to: (a) use the Services for any unlawful purpose; (b) infringe others’ rights; (c) transmit viruses, malware, or other harmful code; (d) scrape, crawl, or harvest content or data without our written permission; (e) interfere with or disrupt the Services or circumvent security measures; (f) misrepresent your identity or affiliation. We may suspend or terminate access for violations.
ACCOUNTS (IF APPLICABLE)
If the Services allow or require an account, you are responsible for safeguarding your credentials and all activity under your account. Notify us immediately of any unauthorized use.
INTELLECTUAL PROPERTY
The Services and all text, graphics, logos, videos, and other materials (collectively, "Content") are owned by or licensed to us and protected by intellectual-property laws. Except as expressly allowed, you may not copy, modify, distribute, sell, or lease any part of the Services or Content without our prior written consent. You may use publicly available Content solely for your internal, non-commercial use in connection with the Services and subject to these Terms.
USER CONTENT (IF YOU SUBMIT ANYTHING)
If you submit or upload content ("User Content"), you retain your rights to it. You grant us a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, and display your User Content as needed to operate, improve, and promote the Services. You represent that you have all rights to grant this license and that your User Content does not violate law or others’ rights. We may remove or disable User Content that we reasonably believe violates these Terms or law.
THIRD-PARTY SERVICES AND LINKS
The Services may include links, integrations, tags, or pixels from third parties (e.g., Google Analytics 4, Google Ads/remarketing, Google Tag Manager, Meta/LinkedIn ad pixels, embedded media). Those services are governed by their own terms and privacy policies. We are not responsible for third-party sites or services.
BETA FEATURES (IF ANY)
We may offer experimental or beta features. They are provided "as is," may change or be discontinued at any time, and may be less reliable than other features.
DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that the Services will be uninterrupted, error-free, secure, or that defects will be corrected. Any case studies, examples, or testimonials are illustrative only and not guarantees of results.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF DATA; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER. Some jurisdictions do not allow certain exclusions or limitations; some of the above may not apply to you.
INDEMNIFICATION
You will indemnify and hold us harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to your use of the Services or violation of these Terms or applicable law.
CHANGES TO THE SERVICES
We may modify, suspend, or discontinue all or part of the Services at any time without liability.
CHANGES TO THESE TERMS
We may update these Terms from time to time. The Last updated date above reflects the most recent changes. Your continued use of the Services after changes become effective constitutes acceptance.
GOVERNING LAW; VENUE
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey for any disputes not subject to arbitration.
DISPUTE RESOLUTION; ARBITRATION
Arbitration; class-action waiver. Except for claims that qualify for small-claims court and claims for injunctive relief, any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA). YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
Opt-out. You may opt out of arbitration by sending written notice to hello@mainstmarketing.club within 30 days of first accepting these Terms.
EXPORT AND SANCTIONS COMPLIANCE
You represent that you are not located in, under the control of, or a national/resident of any country or person subject to U.S. sanctions and that you will comply with applicable export laws.
